Telecom Plus plc Share Option Programme

Share Option Promotion

Our Share Option Promotion gives every Distributor the opportunity to own a part of Telecom plus PLC, and to benefit personally from our growing success.

In general terms: share options give you the right to buy shares in the company at a price that is fixed on the date when the options are issued. You have to wait at least three years before buying the shares, and then, assuming that they have increased in value over that time (and our share price has increased by about 250% over the last three years), you can:

1. buy them at the original price;

2. sell them at the higher price; and

3. keep the profit!*

Our current promotion started on 1 October 2008, and lasts until 31 March 2010. We have allocated a minimum of 200,000 share options for this promotion, and we will increase that number to a maximum of 400,000 options, in line with the growth in our customer base: ie. if our customer base increases by 50% over the period of the promotion, we will increase the number of options available by 50%, to 300,000.

This means that there are large numbers of options waiting to be awarded, and potentially very large sums of money to be earned by Distributors.

We will allocate share options according to a points system, based on Distributor activity during the promotion period. At the end of the promotion, we will be awarding all the available share options in proportion to the number of points Distributors have earned. So, for example, if Distributor A earns 10% of the total number of points during the promotion, he/she will be awarded 10% of the available share options.

So the message is simple - points mean options!

How do you earn points?

You earn points for each type of service supplied to customers gathered during the promotion, as follows:

  • Home Phone: 2 points (3 points with Internet Phone Line)
  • Office Phone: 3 points
  • Broadband: 2 points
  • BroadCall: 4 points (5 points with Internet Phone Line)
  • Mobile: 2 points (any mobile service, including ValuePay)
  • Gas: 2 points
  • Electricity: 2 points

Internet Phone Lines from Telecom Plus

What is Internet Phone Line?

Internet Phone Line is an extra phone line with two important differences:

Firstly, it costs just £2 line rental per month; that’s over 80% cheaper than an extra line from BT.

And secondly, the phone number on this extra line is completely portable, and can be used for making and receiving phone calls anywhere in the world!

It costs nothing to receive a call, and any calls you make are charged on our normal Home Phone/BroadCall (including “Free Global Calls”) or Office Phone tariffs. All you need to benefit from this service is a broadband connection – which doesn’t even need to be supplied by us.

So what types of customer will benefit from this service?

People who need an extra phone line at home

  • families with teenage children (or lots of adults!) who find that they are often trying to use the phone at the same time; or
  • people who work from home and would like to keep a separate line for business calls; or
  • people who want to keep a dedicated line available for elderly relatives or children to call them in an emergency; or
  • anyone involved with a local group or club which means they spend a lot of time on the phone.

Businesses that need an extra phone line(s) in the office

  • a sole trader who wants to ensure customers can still reach them when they’re on the phone to someone else
  • a partnership where both partners want to use the phone at the same time
  • a small business that is growing and needs more phones, but wants to avoid the high cost of extra standard lines from BT or cannot afford to invest in a complete new phone system.

Anyone who regularly travels overseas, either for business or on holiday

  • people with a second home, who would like friends and family to be able to call them on their normal UK number – at UK rates – wherever they are
  • anyone who would like to benefit from “Free Global Calls” while they are abroad. Just imagine – free calls to any number in the UK from anywhere in the World! Because the Internet Phone Line uses the internet to carry your calls, you can use it anywhere there is a fixed broadband connection point – including many hotel rooms and holiday homes abroad.

How does it work?

There’s no engineer visit involved, no software to install, no headset to wear, no extra hassle - just a little adaptor that you plug into your broadband router (and it must be a router), and you’re away!

You plug the phone into the adaptor; the adaptor into the router; the router into the broadband socket. And that’s it.

What about the quality?

The internet phone line is at least as clear, if not clearer, than a regular phone line; particularly from many overseas destinations.

How much does it cost?

Each Internet Phone Line costs just £2 per month (customers can have up to two extra lines if they wish, business customers can have as many as they require).

There is a one-off initial connection charge of £50, whether the customer chooses one line or two. This is much cheaper to install than a new standard phone line - and is a very strong selling point, especially for businesses.

For residential customers, calls are charged on our Home Phone/BroadCall tariff, and customers benefit from “Free Global Calls” in the usual way. Business customers will be charged for any calls at our low Office Phone rates.

Do customers have to be taking their broadband and landline from the Utility Warehouse?

No! Remember - it works with any broadband connection, so your customer can be in a contract with someone else for their broadband (like Sky), or they can have their landline with someone else. It makes no difference - they can still benefit from an Internet Phone Line and "Free Global Calls" with us.

Year End Trading Update

Telecom plus PLC (trading as the Utility Warehouse), which supplies a wide range of utility services (gas, electricity, fixed line telephony, mobile telephony and broadband internet) to both residential and business customers, today issues a trading update for its financial year ending 31 March 2009.

The last quarter of the current financial year, which ends today, has seen a continuation of the positive trends referred to in our Interim Management Statement for the third quarter to 31 December 2008, which was issued on 17 February 2009.

Record numbers of new distributors are joining the business, which is in turn driving a record number of new customer applications. Distributor confidence, already at a high level, has been further boosted by recent additional endorsements in Which? magazine and our recognition as Company of the Year at the recent PLC awards dinner. We now have over 26,800 distributors, representing an increase of around 3,100 during the last three months.

We added more than 66,000 net new services during the final quarter taking the total to over 789,000. This is a further improvement on the previous quarter, which was in itself a record, and represents an annualised growth rate of more than 36%. Customer numbers have increased to almost 280,000, an increase of around 63,000 during the year.

We remain on target to report record pre-tax profits for the year ended 31 March 2009, despite absorbing rising growth related costs. As expected we have seen a substantial seasonal cash outflow during this quarter, mainly due to the impact of customers paying by budget plan during what has been an exceptionally cold winter. Year end net cash is nonetheless expected to be in excess of £20m.

We plan to issue our full year results on 20 May 2009.

Utility Warehouse helps Charities and Community Groups

This is a fantastic way for charities to add another income stream to their fundraising activities. They can sign up as a charity fundraiser for just £25, and promote the club to their army of loyal supporters.

All they have to do is ask their supporter base to ring an 0800 number, which won't cost them a penny. The UK Call Centre will then do a quick run-through of the relevant services, and get saving the customer money.

The best thing is that the Charity or Sports Club etc gets a commission income when the customer signs up, and then every month from that point onwards. It can be a real boost to a scout group, or local football or rugby club, or the local hospice, animal charity or other fundraising committee.

Now Utility Warehouse improve their score further in Which Magazine

As a Utility Warehouse Distributor, there is a plethora of third party Press Articles that add to the credibility of the company. Consumer magazine "Which?" have long extolled the virtues of thc company, and we currently are their "Best Buy" in the Utilites Category.

The news gets better though - the April 2009 report shows that we have since improved ourcustomer service score, and we still come out top for Home Energy! As the report says, we don't claim to be the cheapest, but with our total package of Gas, Electricity, Landline, Broadband, Mobile, Non-Geographic Number and Discount Card, we certainly do our best to keep the customer happy.

Yet another accolade for The Utility Warehouse!

FT Company of The Year


It's great news that Telecom Plus plc - the company behind Utility Warehouse Discount Club, have been named as "FT Company of the Year" at the PLC Awards Dinner on Thursday 12th March 2009.

This is a huge achievement!  The company is currently one of the smallest on the FTSE-250, but going by the figures published in the Financial Times, we won't be for long!
